Welcome to SustainFoodIQ! We appreciate your interest in our platform, which is designed to enhance sustainability across the global food supply chain. By accessing or using SustainFoodIQ, you agree to comply with these Terms and Conditions. Please read them carefully.

These Terms govern the relationship between SustainFoodIQ, companies subscribing to our platform ("Subscribers or Companies"), suppliers who are onboard to the platform ("supplier companies"), and individual users of the platform ("Users").

1. Introduction

SustainFoodIQ ("Company," "we," "our," or "us") provides a cloud-based platform that helps businesses track, analyze, and improve sustainability performance through AI-driven insights, forecasting, and recommendations. Our platform is accessible through both a web application and mobile application (collectively, the "service").

These Terms and conditions ("Terms") form a legal agreement between:

  • Subscribers: The companies or organizations that purchase and use SustainFoodIQ for sustainability tracking.
  • Supplier companies: The suppliers that onboard and share sustainability data with their customers via the platform.
  • Users: Individuals (employees, suppliers, or other authorized personnel) accessing the platform on behalf of a subscriber or supplier company.

By accessing or using SustainFoodIQ, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use our service.

2. How these terms apply

Subscribers (Companies using the platform)

  • Subscribers are organizations that purchase a SustainFoodIQ subscription and provide access to their employees and relevant stakeholders.
  • Subscribers control the data shared within their organization and with their supplier network.
  • Subscribers are responsible for managing user access and permissions within their organization.

Supplier companies

  • Supplier companies onboard to SustainFoodIQ through an invitation from a subscriber.
  • They provide sustainability-related data, which is then analyzed within the platform.
  • Supplier companies must ensure that all shared data is accurate.

Users (End users of the platform)

  • Users include employees of subscribers or supplier companies who have been granted access to SustainFoodIQ.
  • Users may have different levels of access depending on their assigned roles.

For any conflicts between these terms and an agreement signed by a subscriber (such as an enterprise contract), the subscriber agreement will take precedence over these general terms.

3. Eligibility & account registration

To access SustainFoodIQ, you must:

  • You must be an authorized representative of a business or organization to access and use SustainFoodIQ. By using the platform, you confirm that you have the necessary permissions from your organization to enter into agreements and perform actions on its behalf.
  • Have a valid invitation from a subscriber or supplier company (unless using a free trial).
  • Register an account with accurate, up-to-date information.

If you are registering on behalf of a company or organization, you confirm that you have the authority to bind that entity to these Terms.

4. Subscription & payment terms (Applicable to subscribers & supplier companies)

4.1 Subscription plans

SustainFoodIQ offers subscription plans for companies based on the number of locations. Subscription details, including pricing, billing cycles, and features, will be outlined in the subscription areement signed by the Subscriber.

4.2 Payment & billing

  • Subscribers agree to pay all applicable fees as outlined in their subscription agreement.
  • Payments are due as per the invoice schedule provided.
  • Failure to pay within the agreed-upon timeframe may result in temporary suspension or termination of access.
  • Subscription fees are non-refundable, except as required by law or explicitly stated in a separate agreement.

4.3 Auto-renewal & cancellation

  • Unless explicitly canceled before the renewal date, all subscriptions automatically renew at the then-current pricing.
  • Subscribers must submit a cancellation request at least 30 days before the next billing cycle to avoid charges.

5. Acceptable use policy

To maintain the integrity of SustainFoodIQ, all Users, Subscribers, and Supplier Companies agree to:

  • Provide accurate and truthful information when using the platform.
  • Not engage in fraudulent or misleading behavior, including falsifying sustainability data.
  • Not disrupt, manipulate, or attempt unauthorized access to the Service.
  • Not upload malware, viruses, or other harmful materials that could impact the platform’s security.

SustainFoodIQ reserves the right to suspend or terminate access if any violations occur.

6. Data ownership & privacy

6.1 Data ownership

  • Subscribers own their data: Any sustainability data, reports, and metrics generated by a company remain their property.
  • Supplier companies own their data: Any data shared by a supplier remains their property, with controlled sharing permissions.
  • Users do not own any data but may access, edit, or share data based on their permission levels.

6.2 Privacy & security

  • SustainFoodIQ adheres to strict data protection policies outlined in our Privacy policy.
  • We do not sell user data to third parties.
  • SustainFoodIQ uses AI-driven insights, but we ensure that data is anonymized where necessary.

7. Termination & suspension

SustainFoodIQ may suspend or terminate access for the following reasons:

  • Breach of these Terms (e.g., misuse of data, fraud, non-payment).
  • Violation of sustainability compliance laws.
  • Security threats or suspicious activity associated with an account.
  • Requested closure by a subscriber (for company-wide accounts).

Subscribers or supplier companies may request data export within 30 days of termination before the data is permanently deleted.

8. Intellectual property

  • SustainFoodIQ retains all ownership rights over its platform, AI models, branding, and proprietary tools and algorithms.
  • Users, Subscribers, and Supplier Companies are granted a limited, non-exclusive, non-transferable right to use the platform for business purposes only.
  • Unauthorized reproduction, modification, or reselling of our platform is strictly prohibited.

9. Limitation of Liability

To the extent permitted by law, SustainFoodIQ is not liable for:

  • Loss of profits, revenue, business opportunities, incidental, consequential, indirect, or punitive damages arising from use of the Service.
  • Data inaccuracies resulting from user-input errors.
  • Third-party integrations or data sources outside of our control.
  • Temporary unavailability due to maintenance or unforeseen disruptions.

SustainFoodIQ’s total aggregate liability is limited to the previous 12 months fees received by SustainFoodIQ under this agreement.

10. Governing law & Dispute resolution

These Terms are governed by the laws of India.Any disputes will be:

  • Resolved first through informal negotiations within 45 days.
  • If unresolved, escalated to binding arbitration.
  • Any legal claims must be filed within 12 months of the issue occurring.

11. Miscellaneous

  • These Terms do not create any partnership, joint venture, or employment relationship.
  • SustainFoodIQ reserves the right to modify these terms at any time. Changes will be communicated through email or platform notifications.
  • Continued use of the Service after updates indicates acceptance of the revised Terms.
